CONTRACTS & TRANSACTIONS
Intellectual Property and Trademarks
A business cannot license, finance or defend an asset it does not clearly own. IP work begins by tracing who created the value and what documents actually transferred it.
THE WORK BEHIND THE DOCUMENT
Start with the decision and the facts.
I advise on intellectual property and brand questions connected to businesses, software and digital products. The focus is practical: establish ownership, decide what needs registration or contract protection, and make sure licences and commercial agreements do not undermine the business model.
Registration is only one part of protection. A trademark filing does not fix unclear ownership between founders, and a broad IP clause can accidentally transfer tools the supplier must reuse. I map the asset, creator, evidence and intended use before choosing the document or filing path. Official fees and registration work are separately identified.

DELIVERABLES
Work product designed to be used.
The engagement may include an IP ownership map, search and filing plan, assignment, licence, contractor or employment clause, contract redline, brand-use rule, enforcement letter or a prioritized record of missing evidence.
SCOPE & BOUNDARIES
A defined role is part of good advice.
The engagement records the client, jurisdictional scope, deliverables, assumptions, timing and fee basis. Government and judicial fees, VAT, registrations, court representation, foreign-law opinions and third-party specialist work are excluded unless expressly included in writing.
Where another adviser is needed, I identify the question and coordinate the hand-off. General information on this page is not legal advice on a specific matter.
SERVICE FAQ
Questions specific to this work.
Does the fee include trademark registration?
No unless expressly stated. Official charges, VAT and registration professional fees are separate from advisory or drafting work.
Who owns work created by a contractor?
The answer depends on the contract and applicable law. Payment alone should not be assumed to transfer every right.
Can software IP and trademarks be handled together?
Yes, but they involve different assets and protection tools. A coordinated plan avoids treating the brand as the whole product.
NEXT STEP
Describe the decision, the parties and the real deadline.
I will review fit, conflicts and the information needed before proposing a scope. Do not send sensitive documents until an engagement and exchange method are confirmed.
