COMPANIES & FOUNDERS
Company Formation and Corporate Structuring
A company should be structured around ownership, authority, funding and operations—not around whichever registration form happens to be easiest to complete.
THE WORK BEHIND THE DOCUMENT
Start with the decision and the facts.
Formation work starts with what the business will do, who will own it, who needs signing authority and what investors or regulated counterparties may expect. I help clients distinguish the legal act of registration from the continuing governance work that makes a company usable after registration.
The cheapest or fastest entity is not always the right one. I test the structure against expected contracts, employment, investment, banking and exit plans. I also state where the advice ends: registration fees, governmental charges, tax advice or work in another jurisdiction are not silently included in a corporate engagement.
TYPICAL MATTERS
- 01 Choice and comparison of available entity forms within the applicable Palestinian framework
- 02 Shareholding, management authority and reserved decisions
- 03 Incorporation documents, resolutions, registers and internal approvals
- 04 Group, affiliate or project structures where commercial reasons justify them
- 05 Changes in ownership, directors, powers or constitutional documents
- 06 Coordination of licensing, tax or foreign-law questions with the appropriate professionals
DELIVERABLES
Work product designed to be used.
The agreed scope may include a structure note, incorporation checklist, constitutional documents, shareholder decisions, authority matrix, corporate records, implementation timetable and a clear list of filings or third-party steps that remain.
SCOPE & BOUNDARIES
A defined role is part of good advice.
The engagement records the client, jurisdictional scope, deliverables, assumptions, timing and fee basis. Government and judicial fees, VAT, registrations, court representation, foreign-law opinions and third-party specialist work are excluded unless expressly included in writing.
Where another adviser is needed, I identify the question and coordinate the hand-off. General information on this page is not legal advice on a specific matter.
SERVICE FAQ
Questions specific to this work.
Can you register the company for us?
Registration support can be scoped separately. Government fees, VAT and third-party charges are not included unless the engagement says so.
Should founders use equal ownership?
Equal ownership can work, but it should not be adopted without considering contributions, future roles, deadlock and departure.
Do you advise on foreign entities?
I can coordinate the Palestinian and transaction aspects. Advice on foreign entity law requires qualified counsel in that jurisdiction.
NEXT STEP
Describe the decision, the parties and the real deadline.
I will review fit, conflicts and the information needed before proposing a scope. Do not send sensitive documents until an engagement and exchange method are confirmed.
